Tenant Responsibilities and Good Faith Use
1. General Responsibility of the Tenant
Each Tenant is solely responsible for its use of the Services and for all activities conducted under its account, including activities performed by its authorized Users.
The Tenant is responsible for ensuring that its use of the Services is conducted in good faith and for legitimate business purposes.
2. Good Faith and Legitimate Intent
The Tenant represents and warrants that it uses the Services with honest and lawful intentions and not for purposes that are deceptive, abusive, or intended to cause harm to others, the Services, or third parties.
The Tenant must not:
- use the Services to facilitate fraud, deception, or misrepresentation;
- use the Services to conceal or enable unlawful activities;
- use the Services primarily to exploit, test, or circumvent technical or contractual limitations.
3. Responsibility for Users and Access
The Tenant is responsible for:
- appointing, managing, and revoking access for its Users;
- defining appropriate roles and permissions;
- ensuring that Users comply with these Terms and applicable laws.
Any action taken through the Tenant’s account is deemed to have been taken by the Tenant.
4. Responsibility for Content and Communications
The Tenant is solely responsible for all content, communications, and materials created, uploaded, transmitted, or otherwise processed through the Services.
The Tenant represents and warrants that it has all necessary rights, permissions, and legal bases to use, process, and distribute such content.
Permanent Systems LLC (Georgia) does not verify the legality, accuracy, or appropriateness of Tenant content.
5. Compliance with Third-Party Obligations
Where the Tenant interacts with customers, users, or third-party platforms through the Services, the Tenant is responsible for complying with:
- applicable contractual obligations;
- platform-specific rules and policies;
- consumer protection and advertising requirements.
6. Cooperation and Information Requests
The Tenant agrees to cooperate with reasonable requests from Permanent Systems LLC (Georgia) relating to:
- investigation of suspected violations of these Terms;
- compliance with applicable legal obligations;
- protection of the integrity and security of the Services.
Such cooperation may include providing information reasonably necessary to assess compliance.
7. Indemnification for Tenant Activities
To the extent permitted by applicable law, the Tenant agrees to indemnify and hold harmless Permanent Systems LLC (Georgia) from claims, damages, or liabilities arising out of:
- the Tenant’s use of the Services;
- content or communications created or distributed by the Tenant;
- violations of applicable laws or these Terms by the Tenant or its Users.
8. Consequences of Breach
Failure to comply with the responsibilities set out in this section constitutes a material breach of these Terms and may result in enforcement measures, including suspension or termination of access to the Services.
