Suspension and Termination
1. Purpose
This section governs the suspension and termination of access to the Services operated by Permanent Systems LLC (Georgia) for reasons other than payment-related matters, which are addressed separately.
2. Suspension of Access
Permanent Systems LLC (Georgia) may suspend access to the Services, in whole or in part, where it reasonably determines that:
- these Terms or related policies have been violated or are likely to be violated;
- investigation of suspected violations is required;
- continued access may pose legal, regulatory, security, or reputational risks;
- suspension is necessary to comply with applicable law or lawful requests.
Suspension may be implemented immediately and without prior notice where required to prevent harm.
3. Effects of Suspension
During suspension:
- access to the Services or specific features may be restricted;
- the Tenant remains responsible for compliance with these Terms;
- suspension does not waive any rights or remedies of Permanent Systems LLC (Georgia).
4. Termination by Permanent Systems LLC (Georgia)
Permanent Systems LLC (Georgia) may terminate access to the Services where:
- a material breach of these Terms has occurred;
- repeated or severe violations are identified;
- unlawful activities are conducted through the Services;
- continued provision of the Services would be unlawful or unsafe.
Termination may be immediate in cases of serious violations.
5. Termination by the Tenant
The Tenant may terminate its use of the Services in accordance with the applicable procedures and any product-specific terms.
Termination does not relieve the Tenant of obligations accrued prior to termination.
6. Effects of Termination
Upon termination:
- the Tenant’s right to access and use the Services ceases;
- access credentials and authorized Users may be disabled;
- data handling is governed by the Privacy documentation and the Data Processing Addendum (DPA), where applicable.
Certain provisions of the Terms shall survive termination, including those relating to intellectual property, limitations of liability, and governing law.
7. Data Retention and Deletion
Following termination, tenant-controlled data may be deleted or anonymized in accordance with applicable agreements, technical limitations, and legal requirements.
Backup and recovery copies may be retained for limited periods.
8. No Liability for Suspension or Termination
To the extent permitted by applicable law, Permanent Systems LLC (Georgia) shall not be liable for damages arising from suspension or termination actions taken in accordance with these Terms.
