Intellectual Property and Trademarks

1. Ownership of the Services

All rights, title, and interest in and to the Services, including all software, source code, object code, architecture, designs, interfaces, documentation, and related materials, are and shall remain the exclusive property of Permanent Systems LLC (Georgia) or its licensors.

Except as expressly permitted under these Terms, no rights are granted to the Tenant or its Users.


2. Limited Right to Use the Services

Subject to compliance with these Terms, Permanent Systems LLC (Georgia) grants the Tenant a limited, non-exclusive, non-transferable, and revocable right to access and use the Services solely for lawful business purposes.

This right does not include any right to:

  • copy, modify, or create derivative works of the Services;
  • reverse engineer, decompile, or attempt to extract source code;
  • resell, sublicense, or otherwise commercially exploit the Services, except as expressly permitted.

3. Trademarks and Brand Restrictions

All trademarks, service marks, logos, trade names, and branding elements associated with Permanent Systems LLC (Georgia) and the Services are the exclusive property of Permanent Systems LLC (Georgia).

The Tenant and its Users may not, without prior written consent:

  • use, display, or reference any trademark or logo of Permanent Systems LLC (Georgia);
  • represent or imply any endorsement, partnership, or affiliation with Permanent Systems LLC (Georgia);
  • use any confusingly similar names, logos, or branding.

4. No Impersonation or Misrepresentation

The Tenant may not:

  • represent itself as Permanent Systems LLC (Georgia);
  • act on behalf of Permanent Systems LLC (Georgia);
  • present the Services as proprietary or owned by the Tenant;
  • mislead third parties regarding the origin or ownership of the Services.

Any such conduct constitutes a material breach of these Terms.


5. Tenant Content and Intellectual Property

As between the parties, the Tenant retains ownership of content it lawfully provides or processes through the Services.

The Tenant represents and warrants that:

  • it owns or has all necessary rights to use such content;
  • use of such content does not infringe the rights of third parties.

The Tenant grants Permanent Systems LLC (Georgia) a limited right to process such content solely as necessary to provide and operate the Services.


6. Feedback

If the Tenant provides feedback, suggestions, or ideas regarding the Services, Permanent Systems LLC (Georgia) may use such feedback without restriction or obligation to the Tenant, to the extent permitted by applicable law.


7. Enforcement and Remedies

Violation of this section may result in enforcement measures, including suspension or termination of access to the Services.

Permanent Systems LLC (Georgia) reserves all rights and remedies available under applicable law to protect its intellectual property and brand.

  • the Terms of Service as a whole.
